1. Acceptance of Terms By accessing or using the advisory, technology, or related services (collectively, “Services”) provided by Dal Alalem (Commercial Registration No. 10101891558) (“Dal Alalem,” “we,” “us”), you, on behalf of your organization (“Client” or “you”), agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree, you must refrain from using the Services.

These Terms must be read in conjunction with our Privacy Policy, which is hereby incorporated by reference and governs our practices regarding data collection, processing, and protection in compliance with the laws of the Kingdom of Saudi Arabia.

2. Eligibility

You represent and warrant that you are an authorized representative of a legally constituted entity with the full authority to enter into these Terms on behalf of that entity. The Services are intended for business clients and are not available to individuals acting in a personal capacity or to minors.

3. Client Obligations

As a Client, you agree to:

  • Provide accurate, current, and complete information as required for the provision of the Services.
  • Maintain the confidentiality of any credentials, reports, or proprietary information shared during the engagement.
  • Comply with all applicable laws and regulations in the Kingdom of Saudi Arabia, including but not limited to the Personal Data Protection Law (PDPL) and anti-money laundering (AML) frameworks.
  • Use the Services and any resulting deliverables for lawful and intended business purposes only.
  • Refrain from any activity that could disrupt, damage, or compromise the integrity or security of our Services or intellectual property.

4. Service Engagement & Access

  • The specific scope, deliverables, and fees for Services will be defined in a separate Statement of Work (SOW) or Client Agreement, which will supplement these Terms.
  • Access to client data by Dal Alalem personnel is strictly governed by the Client Data Access Protocol outlined in our Privacy Policy, requiring prior written client approval and a defined, legitimate purpose (e.g., service delivery or technical support).
  • We reserve the right to suspend or terminate Services for any material breach of these Terms or the governing Client Agreement, with or without notice, as permitted by law.

5. Intellectual Property

  • Our Ownership: All content, methodologies, frameworks, software, trademarks, and other intellectual property developed or provided by Dal Alalem as part of the Services remain the exclusive property of Dal Alalem or its licensors, protected by law.
  • Client License: Upon full and final payment for the Services rendered, the Client is granted a limited, non-exclusive, non-transferable license to use the final deliverables for its internal business purposes, as specified in the relevant Client Agreement.

6. Data Protection & Privacy

By using the Services, you acknowledge and agree to the collection, use, processing, and sharing of information as described in our Privacy Policy. We are committed to processing all personal data exclusively within the Kingdom of Saudi Arabia and implementing robust security measures in line with PDPL and National Cybersecurity Authority (NCA) standards.

7. Third-Party Links & Services

Our Services or communications may contain links to external websites or integrate with third-party platforms. Dal Alalem is not responsible for the content, privacy practices, or policies of these third parties. Your use of any third-party service is at your own risk.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DAL ALALEM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUR ADVISORY SERVICES ARE BASED ON PROFESSIONAL JUDGMENT AND INFORMATION AVAILABLE AT THE TIME OF ENGAGEMENT AND DO NOT CONSTITUTE A GUARANTEE OF SPECIFIC OUTCOMES, PROFITS, OR REGULATORY APPROVAL. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

To the fullest extent permitted by the laws of the Kingdom of Saudi Arabia, Dal Alalem and its affiliates, directors, and employees shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to lost profits, data loss, or business interruption, arising from or in connection with your use of, or inability to use, the Services.

11. Modifications to Terms

We reserve the right to update these Terms periodically to reflect changes in our Services or in applicable law. We will provide notice of material changes via email or through a notice on our website. Your continued use of the Services after such changes are posted constitutes your acceptance of the new Terms.

12. Governing Law & Dispute Resolution

  • Governing Law: These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
  • Dispute Resolution: The parties agree to first seek an amicable resolution to any dispute. Failing that, any claim or dispute shall be resolved exclusively by the competent courts of Saudi Arabia.

13. Miscellaneous

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: Dal Alalem may assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
